Confidentiality Notice
The basis on which confidential information shared by Aurelius Aegis is provided, and the obligations of those who receive it.
Purpose of This Notice
This Confidentiality Notice sets out the basis on which Aurelius Aegis makes confidential information available to recipients. It applies to materials, communications, and information identified as confidential or that, by their nature, should reasonably be understood to be confidential.
Aurelius Aegis is an institutional firm domiciled in the Abu Dhabi Global Market (ADGM). The confidential information referred to in this notice is provided for the benefit of qualified recipients only.
Confidential Information
Confidential information includes, without limitation, business plans, financial data, projections, strategies, transaction details, methodologies, and any other non-public information disclosed to you by Aurelius Aegis, whether in written, oral, electronic, or any other form.
Confidential information does not include information that is or becomes publicly available other than through a breach of an obligation of confidence, that you can demonstrate was lawfully known to you without restriction prior to disclosure, or that you lawfully obtain from a third party entitled to disclose it.
Obligations of Recipients
If you receive confidential information from us, you agree to hold it in strict confidence, to use it solely for the purpose for which it was provided, and not to disclose it to any third party without our prior written consent.
You agree to protect confidential information using at least the same degree of care that you apply to your own confidential information, and in no event less than a reasonable standard of care, and to limit access to those of your representatives who need to know it and who are bound by equivalent obligations of confidentiality.
No Reliance or Warranty
Confidential information is provided for general assessment and informational purposes only. It does not constitute legal, financial, investment, or other professional advice, nor any representation, warranty, or guarantee as to its accuracy, completeness, or reliability.
Aurelius Aegis accepts no liability for any reliance placed on confidential information. Nothing in such information constitutes an offer to sell, or a solicitation of an offer to buy, any securities; please refer to our Investor Disclaimer.
Data Protection
Where confidential information includes personal data, we and you will process it in accordance with applicable data-protection principles, including the ADGM and DIFC regimes and the GDPR where relevant, and our Privacy Policy.
Each party will apply appropriate technical and organizational measures to protect any personal data contained in confidential information.
Required Disclosure and Return of Information
If you are required by law, regulation, or a competent authority to disclose confidential information, you will, to the extent legally permitted, promptly notify us so that we may seek appropriate protection, and you will disclose only that portion of the information that you are legally required to disclose.
Upon our request, you will promptly return or securely destroy confidential information in your possession, subject to any retention required by applicable law or your bona fide record-keeping policies.
Acknowledgment and Contact
By receiving and retaining confidential information from Aurelius Aegis, you acknowledge and agree to the terms of this Confidentiality Notice. These terms are in addition to any separate confidentiality or non-disclosure agreement you may have entered into with us, which will prevail in the event of any conflict.
